3. Account Registration

To use NexChat, you must create an account. You agree to:

4. Subscription and Payments

4.1 Subscription Plans

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

• Distribute malware, viruses, or harmful code
• Engage in fraudulent, deceptive, or misleading practices
• Violate Meta's Platform Terms or Community Standards
• Collect or store personal data without proper consent
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any systems
• Use the Service for any illegal purposes

6. Meta Platform Compliance

By connecting your Meta accounts (Instagram, Facebook, WhatsApp) to NexChat, you agree to:

• Comply with Meta's Platform Terms, Developer Policies, and Community Standards
• Obtain necessary permissions from users before messaging them
• Respect the 24-hour messaging window for promotional content
• Not use automated messaging to mislead or deceive users
• Maintain accurate business information on connected pages
• Honor user requests to stop receiving messages

We reserve the right to suspend your account if you violate Meta's policies, as this may affect our platform's standing with Meta.

7. AI-Generated Content

NexChat uses artificial intelligence to generate responses on your behalf. You acknowledge that:

• AI responses are generated based on your training data and configurations
• You are responsible for reviewing and monitoring AI-generated content
• AI may occasionally produce inaccurate or inappropriate responses
• You should configure appropriate guardrails and escalation triggers
• You remain ultimately responsible for all content sent through your accounts

8. Intellectual Property

8.1 Our Property

The Service, including its original content, features, and functionality, is owned by Mayhem World Entertainment LLC and is protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of content you upload (knowledge bases, training materials, etc.). By uploading content, you grant us a license to use, process, and store it as necessary to provide the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

9. Third-Party Services

NexChat integrates with third-party services including Meta platforms, AI providers, and payment processors. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXCHAT AND MAYHEM WORLD ENTERTAINMENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• AI-generated responses or automated actions
• Unauthorized access, use, or alteration of your content
• Platform outages or service interruptions

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mayhem World Entertainment LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Content you upload or messages sent through your account

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:
